MEMORANDUM AND ORDER

DON J. YOUNG, District Judge.

This cause came to be heard upon various motions for summary judgment by all parties and also upon a motion of plaintiff to compel discovery.

The ease involves a claim by the plaintiff for damages, rescission, imposition of a constructive trust and punitive damages arising out of the sale of securities of a close corporation. Plaintiff is the executor of one Henry Ritter who at the time of his death owned 143 shares of stock of defendant Lantana Flower Farms, Inc. (hereinafter Lantana).
