The Amalgamated Sugar Company 1 is a corporation organized under the laws of Utah. American Crystal Sugar Company 2 is a corporation organized under the laws of New Jersey. On February 19, 1936, Amalgamated and American executed a written contract. It recited that of the 724,624 shares of issued common stock of Amalgamated, American owned 710,096 shares and that Amalgamated was willing to sell and American was willing to purchase two sugar plants, and other real and personal property described in the contract, belonging to Amalgamated, of the agreed value of…
