MEMORANDUM OPINION
MICHAEL, Senior District Judge.
In this dispute, plaintiff Gilliam, a minority shareholder and member of the board of directors of defendant First Federal Savings Bank of Shenandoah Valley (“First Federal”), challenges the June 1996 election of First Federal’s board of directors. This is not the first time that plaintiff has sued First Federal for actions relating to the election of the board of directors; the bank previously settled a case filed in which plaintiff alleged that the bank prevented him from being elected to the board of directors.
