MARRERO, District Judge.
On November 26, 2001 defendants filed a motion to dismiss plaintiffs’ complaint, pursuant to Federal Rule of Civil Procedure 12(b)(6). On December 20, 2001, plaintiffs filed an opposition to the motion and a cross-motion for a stay on January 7, 2002, defendants filed a reply. On April 26, 2002, the Court heard oral argument on the matter.
