Appeal by the defendants, Gr. Emil Hesse and another, and Henry H. McCorkle and another, from an order of the Supreme Court, made at the Hew York Special Term and entered in the office of the clerk of the county of Hew York on the Jth day of July, 1914, adjudging the appellants guilty of contempt of court and fining them therefor.

McLaughlin, J.:
This action was commenced by the plaintiff Archer on behaf of himself and all other stockholders of the Turbo-Electric Construction Company, a domestic corporation, to procure a judgment adjudging void a resolution of its board of directors and the issuance of 191 shares of its preferred capital stock to the defendant Hesse in pursuance thereof, and decreeing that the same be declared invalid and surrendered to the corporation for cancellation.
