MEMORANDUM AND ORDER

This is a diversity action for injunctive and declaratory relief brought pursuant to the Court’s removal jurisdiction. 1 Plaintiff, Mike Kutka, the franchisee, is seeking to prevent defendant, Temporaries, Inc. (hereinafter TI), the franchisor, from terminating his franchise in El Paso, Texas. 2 TI has interposed a counterclaim, based upon an alleged breach of the franchise agreement.
