OPINION
LIFLAND, District Judge.
Presently before the Court are (1) plaintiffs’ 1 motion to dismiss pursuant to Fed. R.Civ.Proc. 13(a) and (2) plaintiffs’ motion pursuant to Fed.R.Civ.Proc. 12(b)(6) to dismiss defendants’ claims against Bally Entertainment Corp. (“Bally Entertainment”) and Bally’s Health & Tennis Corp. (“Bally’s H & T”) for failure to state a claim. In the alternative, plaintiffs move for summary judgment in favor of the two Bally entities.
