This appeal arises from an action filed in the District Court for the Eastern District of Pennsylvania by the plaintiff-appellee Voest-Alpine Trading USA Corp. (hereinafter, “VATCO”) claiming that the defendant-appellants, Vantage Steel Corporation (“Vantage”), Marvin F.
