Appellant Michael Earns, owner of the El Fénix chain of Mexican food restau rants in the Dallas-Fort Worth Metroplex, sought to purchase a competing chain of Mexican food restaurants from Appellees Jalapeno Tree Holdings, L.L.C., Mark S. Parmerlee, and Paul Bambrey (collectively “Jalapeno Tree”). Although the parties initially agreed to certain terms outlined in a letter of intent (“LOI”), negotiations stalled and the deal ultimately collapsed.
