HEANEY, Circuit Judge.
George Wasson petitions this Court, pursuant to § 25(a)(1) of the Securities Exchange Act of 1934,15 U.S.C. § 78y(a)(l), to review an order of the Securities and Exchange Commission suspending him from associating with any broker or dealer for a period of forty-five days. The order was based upon the Commission’s determination that Wasson willfully violated and willfully aided and abetted violations of §§ 5(a) 1 and (c) 2 of the Securities Act of 1933, 15 U.S.C. § 77e(a) and (e), in connection with the sale of S & M Industries, Inc.
