CAFFREY, District Judge.

This is a civil action brought by the Securities and Exchange Commission under Section 22(a) of the Securities Act of 1933, 15 U.S.C.A. § 77v(a), in which the Commission charges that the defendants, Albert F. Green, a resident of the State of Florida, and Orange Grove Tracts, a corporation organized under the laws of the State of Delaware in 1962, are engaged and are about to engage in acts and practices which constitute and which will constitute violations of Sections 5(a), 5(c), and 17(a) of the Act, 15 U.S.C.A. §§ 77e(a), 77e(c), and 77q(a).
