Appeal by the defendants, August Heckscher and others, from an interlocutory judgment of the Supreme Court in favor of the plaintiff, entered in the office of the clerk of the county of New York on the 30'th .day of December, 1910, upon the decision of the court, rendered after a trial at the New York Special Term, overruling the defendants’ demurrers to the complaint.

■ The. facts upon which plaintiff claims to be entitled to judgment, as set forth in the complaint, are as follows: The New.foundland Syndicate was organized on November 16, 1904, under the laws of the State of New Jersey, for the purpose of. purchasing and operating mines and like enterprises. Its capital stock was originally $300,000, which was increased to .$2,000,000 in July, 1906.
