MANION, Circuit Judge.
Peter Collins sued his former employer, Golden Cat Corp., in state court; he claimed the company — which was sold to Ralston Purina in April 1995 — reneged on its promise in a retention agreement to pay Collins money and benefits if he was fired by the new owner before December 31, 1995. Golden Cat removed the case to federal court, claiming that ERISA preempted his claims.
