Plaintiff CD International Enterprises, Inc. (“CDII”) extended a promissory note to Defendant Rockwell Capital Partners, Inc. (“Rockwell”) that included a provision giving Rockwell the right to convert CDII debt into shares of the company. After Rockwell exercised its conversion right and immediately began to sell its newly acquired stock, CDII’s share price fell precipitously.
