GLICKMAN, Associate Judge:

This dispute between a cooperative and two of its members, appellants Liliane Wil-lens and Steven Niederman, was triggered by a decision of the cooperative’s board of directors to forgive certain debts owed to the cooperative by other members. Wil-lens and Niederman sued the cooperative and its directors for breach of contract and breach of fiduciary duty in connection with that decision. The trial court granted summary judgment to the defendants on each of appellants’ claims. We reverse
