TORRUELLA, Chief Judge.

This appeal comes to us on the basis of diversity jurisdiction. The parties agree that it is governed by the substantive law of the state of Massachusetts. The plaintiff is the former chief executive officer of the defendant corporation, and his claims stem from an alleged breach of his employment agreement with the defendant.
