This action was brought to settle and adjust the affairs of a copartnership, organized in January, 1847, for the manufacture of lumber under the name of “ The Saratoga Steam Mill Lumbering Association,” with a capital of $10,000, and to compel the defendants, Putnam and Yer-beck, to contribute toward the payment of certain debts of the concern, for which it is claimed they were liable to the plaintiffs.
