MEMORANDUM OPINION AND ORDER
ANDERSEN, District Judge.
This case is before the Court on a declaratory judgment action based on a directors and officers liability insurance poli cy. Joel E Bernstein, M.D., James L. Currie, Neal S. Penneys, M.D., Laura Pearl, Jeremy Silverman, Frank A. Ehm-ann, Henry Kuehn (“Directors”) and Gen-Derm Corporation are before this Court on a motion for summary judgment. Genesis Corporation has brought a cross-motion for summary judgment. At issue are two provisions of a directors and officers insurance policy issued by Genesis.
