BAUER, District Judge.

This cause comes on the motion of certain defendants to dismiss or for transfer of venue to the United States District Court for the Middle District of Florida.

This is a derivative action on behalf of Mayflower Investors, Inc. (“Mayflower”) to enforce a right of Mayflower which that corporation allegedly has failed to enforce and which the corporation may properly enforce. The named plaintiff, Seymour Abrams, is a citizen and resident of the State of Illinois and presently owns 3500 shares of Mayflower common stock and has been a shareholder of Mayflower at all times…
