This case arose as a result of a Complaint filed by the plaintiff for damages as a result of an alleged breach of a contractual agreement between the parties. In September 2004, Plaintiff, Wahsei Miran, and Defendants, Alan Merullo and Greg Smith, created WAG Eastern Academy, L.L.C., and entered into an Operating Agreement for the purpose of opening a martial arts training academy in Chesapeake, Virginia (“Chesapeake School”).
