This case comes on upon demurrer. Complainant, Victor F. Foti, is a former president of Respondent, Western Sizzlin Corporation (“Western Sizzlin”), a Delaware corporation with its principal place of business in Roanoke, Virginia. Foti made a written request as permitted by 8 Delaware Code § 220 that he, as a shareholder of Western Sizzlin, be permitted to inspect the corporate books and records.
