MEMORANDUM OPINION AND ORDER

LEON, District Judge.

Before the Court are the plaintiffs Motion for Preliminary Injunction [# 5] and the defendant’s Motion to Dismiss the complaint [# 9]. In this action, the plaintiff, Vaughn A. Clarke (“Clarke”), former Chief Financial Officer the Federal Home Loan Mortgage Corporation (“Freddie Mac”), challenges the actions of the defendants, Office of Federal Housing Enterprise Oversight (“OFHEO”) and its Director, Armando Falcon, Jr., in ordering Freddie Mac to freeze termination benefits owed to him pursuant to a separation agreement.
