FACTS

Plaintiff, Karsten Manufacturing Corporation (“Karsten”), is an Arizona corporation engaged in the design, manufacture and sale of golf equipment throughout the United States (“U.S.”) and the world. Kar-sten has been manufacturing clubs since 1959 and currently employs approximately 1,900 persons in Phoenix, Arizona. Kar-sten has a British affiliate, Karsten (U.K.) Ltd., located in Gainsborough, England.

Defendant, United States Golf Association (“USGA”), is a Delaware corporation with its principal place of business in Far Hills, New Jersey.…
