CINDRICH, District Judge.
I. Introduction
This is an action for breach of warranty and fraudulent misrepresentation arising out of the bank issuer’s payment of $3 million to the beneficiary upon presentment of a sight draft drawn against an irrevocable, standby letter of credit. The issuer, PNC BANK, (“PNC”) (formerly Pittsburgh National Bank), has its principal place of business in Pittsburgh, Pennsylvania, and the beneficiary, Liberty Mutual Insurance Company (“Liberty Mutual”), has its principal place of business in Boston, Massachusetts.
