Error to Saginaw; Gage (William G.), J. Case by Margaret A. Smalley against Joseph W. Mc-Graw and Frank P. Chesbrough for fraud and deceit. There was judgment for defendants oñ a verdict directed by the court, and plaintiff brings error.

This is a common-law action for fraud and deceit against the defendants as directors of the Old Second National Bank of Bay City, based upon representations of the financial condition of the bank, contained in certain reports to the comptroller of the currency, in reliance upon which plaintiff alleges she purchased certain stock of the bank.

The declaration contained four counts. The first count charged that, at the time of the fraudulent representations relied upon, the capital of the bank had become impaired and its value destroyed by reason of losses suffered by the bank through the…
