OPINION AND ORDER

EDELSTEIN, District Judge:

This is an interpleader class action, pursuant to 28 U.S.C. § 1335(a) and Fed.R. Civ.P. 23, brought, inter alia, by United States Trust Company of New York (“U.S. Trust”) and the Chase Manhattan Bank, N.A., (“Chase”) in their capacities as trustees for 9V4% Notes and 5%% Debentures issued by the now defunct UV Industries, Inc. (“UV”). 1 U.S. Trust and Chase are holders of interest installments, together with accumulated earnings thereon, paid to the banks by UV’s successor corporation, Sharon Steel Corporation (“Sharon”).
