Plaintiffs-Appellants M. Daniel Berman and Joseph A. Stanley, Jr. appeal the district court’s order granting the motion to dismiss filed by Blount Parrish & Co., Inc. (“Blount Parrish”), BP Holdings, LLC and certain individual defendants in this action alleging violations of sections 12(a) and 15 of the Securities Act of 1933, 15 U.S.C. §§ 771, 77o. The complaint was filed on March 14, 2003.
