PRATT, District Judge.

This matter comes before the Court on defendant’s Motion to Dismiss plaintiffs’ Complaint. Defendant filed such motion on June 26, 1997. Plaintiffs filed their Resistance on August 27,1997 and defendant filed a reply on October 17, 1997. A hearing was held on March 10, 1998. At the outset, the Court would like to commend the attorneys for both parties on their briefs and oral arguments. As Chief Judge Arnold states in United States v.
