I. INTRODUCTION
This is an action for declaratory judgment relating to the ownership interests and management rights in Assist Integrated Technologies L.L.C. (“AIT”), a Delaware limited liability company, and in its subsidiary, ThePageGroup.com, L.L.C. (“TPG”), also a Delaware limited liability company. The complaint was filed on November 30, 1999.
