WALSH, Justice.
This is an appeal from a decision of the Court of Chancery denying vacatur of previous rulings by that Court granting, inter alia, specific performance of the merger agreement between Tyson Foods, Inc. (“Tyson”) and IBP, Inc. (“IBP’),'as well as the approval of the settlement of related shareholder claims. The background of this controversy is set forth in a previous decision of this Court limiting the scope of this appeal to the February 11, 2002 decision of the Court of Chancery denying vacatur.
