MEMORANDUM OPINION AND ORDER

Plaintiff Coronet Insurance Company (“Coronet”) brings this action for declaratory and injunctive relief, recission and damages alleging that defendants have acquired a controlling interest in defendant Great Lakes Financial Resources, Inc.
