MEMORANDUM AND ORDER
DENNEY, District Judge.
This matter comes before the Court upon the plaintiff’s motion to dismiss the defendant’s counterclaim. The complaint alleges nondisclosures and excessive charges in violation of the Truth-in-Lending Act, 15 U.S.C. §§ 1601 et seq. and Federal Reserve Regulation Z, 12 C.F.R. 226, by the defendant, a Nebraska Corporation which extends credit in connection with the sale of its automobiles.
