MEMORANDUM AND ORDER

Plaintiff Abernathy-Thomas Engineering Co. (“Abernathy”) brought this action against defendant Pall Corporation and several of its subsidiaries (collectively, “Pall”) alleging fraud, misuse of proprietary information, unfair competition, tor-tious interference with contract, breach of fiduciary duty, and a debt owed on a commission contract, all in connection with Pall’s termination of an exclusive distribution agreement with Abernathy.
