MEMORANDUM OPINION
GLEN M. WILLIAMS, District Judge.
The plaintiff Northwestern Bank is a state banking corporation organized under the laws of North Carolina with its principal place of business in the State of North Carolina. The defendant First Virginia Bank of Damascus, Virginia is a state banking corporation organized under the laws of the Commonwealth of Virginia. Jurisdiction over this case is based upon diversity of citizenship and the amount of controversy in excess of ten thousand dollars ($10,000), excluding interest and costs. 28 U.S.C. § 1332.
