OPINION
KRAMER, JUDGE:
Sam Gross appeals a judgment of the Fayette Circuit Court which found him civilly liable to Appellee, Adcomm, Inc., in the amount-of $169,672.35, and which dismissed various civil claims Gross asserted against Chris Pearson. For the reasons stated below, we affirm in part and vacate in part.
By way of background, on or about April 26,2001, Sam Gross and Christopher Pearson incorporated Adcomm, Inc. As stated in Adcomm’s articles of incorporation, Ad-comm issued a total of 1000 shares (500 to Gross and 500 to Pearson); Adcomm’s board of directors consisted of only Gross and…
