MEMORANDUM OPINION
AMY BERMAN JACKSON, District Judge.
Plaintiff Thompson Hine LLP (“Thompson Hine”) brings this diversity action against Smoking Everywhere, Inc. (“SE”) its CEO, Elicko Taieb, and EC Distribution, Inc. (“EC Distribution”) alleging breach of contract and fraudulent transfer arising out of defendants’ failure to pay legal fees to plaintiff.
