I. INTRODUCTION

Fuji Photo Film U.S.A. (“Fuji”) brings this action alleging mail and wire fraud and commercial bribery in violation of the Racketeering Influenced and Corrupt Organizations Act (“RICO”), 1 common law fraud, conspiracy to defraud, breach of fiduciary duty, and aiding and abetting breach of fiduciary duty. All defendants have moved to dismiss the Complaint. 2 For the reasons discussed below, the ADK defendants’ motion is granted with respect to Taylor, but denied as to ADK.
