MEMORANDUM OPINION

HUVELLE, District Judge.

This is a breach of contract action brought by FCE Benefit Administrators, Inc. (“FCE”) against Patterson/Smith Associates (“PSA”). 1 FCE is a California corporation that designs and administers health insurance benefit plans, including plans for employers with government contracts. PSA is an insurance agent licensed in Virginia to sell, inter alia^ health insurance and employee benefits coverage.
