Defendant UBS Securities LLC (“UBS”) underwrote residential mortgage-*1038backed securities (“RMBS”) that United Western Bank (“the Bank”) purchased.1 The Bank subsequently failed and the Federal Deposit Insurance Corporation (“FDIC”) was appointed as receiver.
