The Securities and Exchange Commission (“SEC”) filed suit against Revelation Capital Management, Ltd. (“Revelation”) and Christopher P.C. Kuchanny, Revelation’s founder, Chairman, Chief Executive Officer, Chief Investment Officer, and sole shareholder (collectively, Defendants), alleging that Defendants violated Rule 105 of Regulation M, see 17 C.F.R. § 242.105.
