Following a jury trial, Reginald C. (“Bubba”) Haupt was convicted of two counts of making an untrue statement of material fact in connection with an offer for the sale of securities and five counts of omission of a material fact in connection with such an offer to sell in violation of the Georgia Securities Act of 1973 (the “Act”), OCGA § 10-5-12 (a) (1) and (2) (B), respectively.
