Plaintiff, The Chase Manhattan Bank, N.A. (“Chase”), instituted the within adversary proceeding on March 11,1991 against Defendant, Summit Bank (“Summit”), successor in interest to United Jersey Bank, and Debtor, Nemko, Inc. (“Nemko”), to determine the extent and validity of liens covering Nemko’s accounts receivable. On April 15,1991, Summit filed a motion to dismiss Chase’s complaint pursuant to Federal Rule of Bankruptcy Procedure 7012(b) or in the alternative for summary judgment pursuant to Federal Rule of Bankruptcy Procedure 7056.…
