In this derivative action, David Goldberg, a stockholder of Universal Gas & Oil Company, Inc. (UGO), contests an allegedly fraudulent exchange agreement entered into between UGO and its controlling parent, Maritimecor. Goldberg asserts that the exchange, by which UGO was to receive all of Maritimecor’s assets and assume all of its liabilities in return for up to 4.2 million shares of UGO’s stock, was grossly unfair to UGO because the liabilities of Maritimecor substantially outweighed its assets.
