MEMORANDUM AND ORDER ON DEFENDANTS MOTION TO DISMISS THE AMENDED COMPLAINT
SKINNER, Senior District Judge.
This is an action for violations of section 18(a) of the Securities and Exchange Act of 1934, 15 U.S.C. 78r(a), gross negligence under Missouri and New York state law, and violations of the Missouri Uniform Securities Act brought by plaintiffs to recover damages suffered allegedly as a result of their purchase of securities in reliance on defendant’s false and misleading statements.
