In an action based on violations of section 15 of the Stock Corporation Law, the appeal is (1) from a judgment dismissing the complaint on the merits after trial, and (2) from the decision directing the entry of said judgment. Judgment reversed on the law and the facts and a new trial granted, with costs to abide the event. On December 14, 1950 respondent Jewel Radio and Television Corporation of America, hereinafter referred to as the corporation, adopted resolutions to effectuate its liquidation and dissolution on or before December 30, 1950.
