Before the Court are cross-motions for summary judgment in this derivative action for declaratory and injunctive relief brought under section 10(b) 1 of the Securities Exchange Act of 1934 and Rule 10b-5. 2 Plaintiffs 3 are shareholders of nominal defendant Ferretería Merino, Inc., a close corporation 4 organized under the laws of Puerto Rico, with its principal place of business in San Juan.
