A INTRODUCTION
The instant proceeding (“the Proceeding”), was removed from state court and retained here for reasons discussed in a prior opinion arising out of the instant voluntary Chapter 11 bankruptcy case of RBGSC INVESTMENT CORP. (“the Debtor”), published at 240 B.R. 536, 542-44 (Bankr.E.D.Pa.1999) (“RBGSC I”).
