MEMORANDUM OPINION

WILLIAM M. TAYLOR, Jr., District Judge.

This is a civil action over a Patent License Agreement for a flaming fountain nozzle. Jurisdiction is based on diversity of citizenship. 1 Plaintiff is a Texas corporation with its principal place of business in Texas. Defendant Imperial Fountains, Inc., is a division of Meridian Enterprises, Inc., a California corporation with its principal place of business in California. The dispute centers mainly on the second paragraph of the agreement which provides for three payments of $5,000 and on three royalty payments of $4,000 minimum…
