The plaintiffs, Earl R. McFarland and David Evans, participants and beneficiaries in an Employee Stock Ownership Plan of defendant Yegen Holdings Corp. (the “ESOP”), have brought this action pursuant to the Employee Retirement Income Security Act of 1974 (ERISA), 29 U.S.C. §§ 1001-1461, against Yegen Holdings, Christian C. Yegen, the President of Yegen Holdings and a trustee of the ESOP, and Jason Semel, a trustee of the ESOP.
