This is an appeal from an order of the United States District Court for the Southern District of New York, 534 F.Supp. 873, Carter, J., dismissing plaintiff’s amended complaint. Plaintiff John Decker alleges that in September 1976 he purchased 200 shares of the common stock of the defendant company, Massey-Ferguson, Ltd. (Massey). He instituted this action pursuant to section 10(b) of the Securities Exchange Act of 1934,15 U.S.C. § 78j, and Rule lob-5, promulgated thereunder, 17 C.F.R. § 240.10b-5, on behalf of all persons who purchased Massey common stock…
